1  Definitions

1.1“Company” means Pygmalion London Ltd.

1.2“Customer” means any business purchasing goods from the Company for resale.

1.3“Goods” means taper candles sold in pairs (one pair per box).

1.4“RRP” means the recommended retail price set by the Company.

2  Orders

2.1All wholesale orders are subject to acceptance by the Company.

2.2Approved customers place orders using the personal order form link the Company sends them, which shows current stock availability and prices.

2.3Any delivery date restrictions should be clearly stated on the order form.

3  Minimum Order Quantity (MOQ)

3.1The minimum order quantity is 30 pairs of candles per order.

4  Pricing and Resale

4.1Wholesale prices are set out in the Company’s current wholesale price list and confirmed on the order form. Prices are quoted in GBP, USD or EUR as stated on the order form.

4.2Customers agree not to sell the Goods below the Company’s stated RRP.

4.3The Company reserves the right to review or withdraw wholesale supply if pricing policies are not adhered to.

5  Delivery

5.1Delivery is made via DPD Overnight within the United Kingdom.

5.2Delivery charges will be added to the customer’s invoice.

5.3The Company will use reasonable endeavours to meet delivery timeframes but does not guarantee specific delivery dates.

6  Payment Terms

6.1For first orders, payment is due within 7 days from the date of invoice.

6.2For all subsequent orders, payment terms are 30 days from the date of invoice unless otherwise agreed in writing.

6.3Payment shall be made by bank transfer to the Company bank account provided on the customer’s invoice.

6.4The Company reserves the right to withhold or delay further orders where payment terms are not met.

7  Risk and Title

7.1Risk in the Goods passes to the Customer upon delivery.

7.2Title to the Goods shall remain with the Company until full payment has been received in cleared funds.

8  Returns and Claims

8.1Customers must inspect Goods upon delivery and notify the Company within 48 hours of any damages or discrepancies.

8.2Returns will only be accepted with prior written agreement from the Company.

9  Liability

9.1The Company shall not be liable for any indirect or consequential loss arising from the use or resale of the Goods.

9.2Nothing in this agreement limits or excludes liability for death or personal injury caused by negligence, or any other liability that cannot be excluded under UK law.

10  Force Majeure

10.1The Company shall not be liable for failure or delay in performing its obligations due to events beyond its reasonable control.

11  Governing Law

11.1These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales.

11.2Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12  Acceptance

12.1Customers accept these Terms and Conditions by ticking the acceptance box on the order form.
